General Representation and Warranty.

Indemnification.
20.You agree to indemnify and hold harmless Property Indepth, its contractors, and its licensees, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including legal fees, arising out of, or relating to (i) your breach of any term or condition of this Agreement, (ii) your use of the Website, and/or (iii) your unauthorised use of Property Indepth or third party intellectual property.
Miscellaneous.
21.This Agreement constitutes the entire agreement between Property Indepth and you concerning the subject matter hereof, and may only be modified by a written amendment signed by an authorised executive of Property Indepth, or by the posting by Property Indepth of a revised version.
22.This Agreement and any access to or use of the Website will be governed by and construed in accordance with the laws of New Zealand, and any claim made by either party against the other which in any way arises out of this Agreement will be heard in New Zealand and you agree to submit to the jurisdiction of the Courts of New Zealand.
23.If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect.
24.A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
25.You may not assign or otherwise transfer any of your rights under this Agreement without Property Indepth’s prior written consent. Property Indepth may assign its rights under this Agreement to any party at any time without notice to you.
26.This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
